Agreement to these Terms

Welcome to FreshSun. The websites at freshsun.co and freshsun.app (together, the “Sites”) are operated by Merendon Cloud, LLC (“we”, “us”, or “FreshSun”). FreshSun is a discovery and promotion front door for local stays: you find a place here, then book it where it already lives. FreshSun is not an overnight marketplace and does not take the reservation.

By accessing or using the Sites you signify that you have read, understand, and agree to be bound by these Terms of Service. Our Privacy Policy explains how we handle personal information. If you do not agree, do not use the Sites.

Creating an account, creating a host, or submitting a listing is an additional agreement. We store the Terms version you agreed to, the Privacy version you acknowledged, and the time of that action. Host features stay available only while your recorded acceptance matches the current versions.

Changes to these Terms

We may change these Terms. We will post the updated Terms on this page, change the date and version at the top, and record a new version number.

If a change is material, we will email the address on your account and we will ask you to agree to the new Terms and acknowledge the Privacy Policy before you keep using host features. Email notice plus a fresh acceptance are both required for a material change — continued use alone is not enough. If you do not accept, stop using host features and, if you wish, ask us to delete your account.

For a change that is not material, posting the update is notice. Your continued use of the Sites after we post that kind of update is your acceptance of it.

What FreshSun is — and is not

FreshSun helps travelers discover local stays and helps hosts promote a stay they already offer elsewhere. Guests browse cards and place pages on the Sites. To book, they leave FreshSun on a leave page and continue on the host’s existing booking link.

• FreshSun is not the merchant of record for a stay. We do not take booking payment.
• FreshSun does not operate the stay, set house rules, collect a security deposit, or handle check-in.
• A booking, cancellation, refund, or stay problem is between the guest and the host, or between the guest and the host’s booking platform.
• We do not scrape or copy listings from other sites. Hosts supply their own title, photos, copy, and outbound links.

Where FreshSun operates

These Terms are worldwide. Anyone may visit the Sites, subject to these Terms and to local law. Our first operating pilot is in Central America — Guatemala, El Salvador, Belize, Honduras, Nicaragua, Costa Rica, and Panama. A stay in that region does not limit the geographic scope of these Terms.

Who may use FreshSun

You must be at least 18 years old, or the higher age required by the law that applies to you, to create an account, list a stay, or agree to these Terms. The Sites are not directed to children under 13.

The Sites are operated from the United States.

Accounts and email codes

Hosts sign in with an email address and a six-digit one-time code. We do not use a password. You must agree to these Terms and acknowledge the Privacy Policy before we send a code. The first successful code can create your personal account. We then store the Terms and Privacy versions and the time of your agreement and acknowledgment.

Listings belong to a host profile (the house or small hotel), not only to a personal login. You may invite a teammate who already has a FreshSun account. You are responsible for activity under your host and for the people you invite.

Guests and booking off-site

If you are browsing as a guest, you may use the Sites to discover stays. When you choose to book, FreshSun opens the host’s page on Airbnb, Booking.com, Vrbo, or another outbound link the host supplied. Those sites have their own terms. FreshSun does not confirm availability, price, or the condition of the stay.

Disputes about a stay or a booking are between you and the host, or you and the host’s booking platform. FreshSun is not the merchant of record and is not a party to that booking.

Hosts and listings

You may list the same stay on Airbnb, Booking.com, Vrbo, and similar booking sites. FreshSun outbound links today accept HTTPS links for Airbnb, Booking.com, and Vrbo.

You warrant that you have authority to offer the property (as owner, manager, or other authorized person), that the listing is accurate, and that you will keep photos, copy, availability links, and location information reasonably up to date. Do not invent a stay or list a place you are not allowed to offer.

You are responsible for lodging, safety, licensing, tax, zoning, and guest-registration rules that apply to the stay, and for complying with applicable nondiscrimination and public-accommodation laws when you offer it. FreshSun does not inspect the property or issue permits.

A host-created listing stays in review before it is public. We may approve it, send it back with a note, pause it, or keep it off the Sites. Publication is not guaranteed. The FreshSun collection (stays we chose) is separate from host-submitted listings.

Your photos, words, and license to FreshSun

You keep ownership of the photos, titles, and descriptions you upload. You warrant that you have the rights needed to upload them and to grant the license below — including rights in people, property, and trademarks shown in a photo. Before you upload media, and again before you submit a listing for review, you must confirm that warranty.

You grant FreshSun a worldwide, royalty-free, non-exclusive license to host, display, crop, translate, adapt (including AI-assisted adaptations for translation, search copy, and, if you opt in, promotional creatives), and otherwise use that content on the Sites and to promote that listing. You also grant us the right to sublicense those uses to the service providers who help us run FreshSun (for example hosting, storage, and language-model providers). The license for new FreshSun uses ends when the listing is deleted, or when the host is deleted because the last member’s account is deleted. We may keep brief backups after deletion.

Within 30 days after that deletion we will remove or unlabel posts that FreshSun still controls on FreshSun’s own social accounts (so they no longer identify the stay or host). Independent copies we do not control — shares, screenshots, search or platform caches, or another person’s reshare — may remain. Applicable erasure and consent-withdrawal rights under the Privacy Policy still apply.

Listings belong to the host profile (the house), not only to a personal login. If you delete your personal account and teammates remain on the host, the host and its listings stay; your personal account data is removed. If you are the last member, deleting the account ends the host and starts the 30-day social wind-down.

Translations, search copy, and the promotional-AI opt-in

To show a stay in English and Spanish, FreshSun may send listing titles and descriptions to language-model providers so we can detect language, tidy mechanical mistakes, translate, and write search titles and descriptions. Place-page intros may also be drafted that way. That processing can happen whether or not you turn on promotional AI. It uses the copy you supplied — we do not scrape or copy listings from other sites for this.

The optional promotional-AI setting is a separate opt-in on the listing. If you turn it on, FreshSun may create AI-augmented promotional creatives from what you supplied and publish them on FreshSun’s own social accounts or as country- or interest-based campaigns, with a link to the listing page or to FreshSun’s home page. That is not posting as you or from your personal or business handle.

How FreshSun uses social media

Promotion that FreshSun runs uses FreshSun’s own social handles only. Campaigns are aimed at countries or interests, not at named individuals. Creatives may be AI-augmented and will link to the listing page or to the FreshSun home page. We do not log into a host’s account or publish as the host.

Fees and paid promotion (planned)

Starter is free to list today. We do not charge a booking commission because we do not take the booking.

Growth, Pro, separately purchased social placements, and hourly homepage placements are planned paid products and are not available to purchase today. You can continue using Starter without enrolling in a paid product.

Before any paid product becomes available, we will show its price, included services, placement duration, any renewal terms, and its cancellation and refund terms. We will not charge you unless you affirmatively enroll through a separate checkout or order after seeing those terms. Agreeing to these Terms does not enroll you in a paid product.

Review, suspension, and takedown

We may refuse, hide, pause, or take down a listing or account, restrict features, or stop a promotion, at any time, including if we believe these Terms, the law, or another person’s rights are at risk. We may do this with or without prior notice.

How to report a listing

To report a listing (including a legal, safety, or accuracy concern), write to contact@freshsun.co. Include a link to the listing or page and a short description of the problem. We will review reports in the ordinary course. A formal copyright-notice process will be published separately; until then, use the same address and include the listing link.

Stay and booking disputes sit with the host

If a stay is dirty, unsafe, not as described, cancelled, overbooked, or otherwise goes wrong, that dispute is between the guest and the host, or the guest and the host’s booking platform — not FreshSun. FreshSun does not provide the lodging and is not the merchant of record.

FreshSun’s site and your limited license

The Sites’ design, software, trademarks (including FreshSun), and editorial collection are owned by us or our licensors. We grant you a limited, revocable, non-exclusive license to access the Sites for their intended purpose. You may not scrape, crawl, or harvest the Sites, copy the collection as a database, or use the Sites to build a competing directory.

You may link to a FreshSun page if the link is not misleading and does not suggest we sponsor you. We may revoke that permission.

Prohibited use

You may not use the Sites for any unlawful purpose, to harm others, or to interfere with the Sites. You may not probe or overload our systems, bypass a technical control, or submit malware. You may not impersonate another host or invent a stay that does not exist.

Links to other websites

The Sites contain links we do not control — including host booking pages and our public social profiles. Those destinations have their own terms and privacy practices. FreshSun is not responsible for them. Leaving FreshSun is at your own risk.

Privacy

You agree you have read the Privacy Policy. Questions about personal data go to privacy@freshsun.co. General questions go to contact@freshsun.co.

Disclaimer of warranties

The Sites are provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Sites will be uninterrupted, error-free, or free of harmful components, or that a listing is accurate, available, or lawful.

Limitation of liability

Nothing in these Terms excludes liability that the law does not allow us to exclude — including, where they apply, liability for death or personal injury caused by our negligence, for fraud or fraudulent misstatement, or for mandatory consumer or statutory rights.

For visitors and guests (people who browse or leave to book, and who are not using host tools): to the fullest extent permitted by law, FreshSun, Merendon Cloud, LLC, and our officers, members, employees, and agents are not liable for stay or booking disputes, or for indirect, incidental, special, consequential, or punitive damages arising from browsing the Sites. Those stay and booking disputes sit with the host or the host’s booking platform. FreshSun is not the merchant of record.

For hosts on the free tier: we are not liable for claimed missed sales or lost bookings said to result from organic posts on FreshSun’s own social accounts.

For hosts who pay for promotion: our liability for that paid service is capped at the fees you actually paid us for that same service in the twelve months before the claim.

For hosts generally, to the fullest extent permitted by law, we are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or goodwill, except where that limit is not allowed.

Indemnification

If you are a host, you agree to indemnify and hold harmless Merendon Cloud, LLC and FreshSun from claims, damages, and reasonable legal fees arising from your listing, your property, your content, your booking links, or your breach of these Terms or of lodging, safety, licensing, or nondiscrimination rules — including a claim that you lacked rights in a photo or authority to offer the property, or that a guest was harmed at your property. This indemnity does not apply to visitors who only browse or leave to book, and it does not require you to cover our fraud or our negligence where the law forbids that.

Disputes, governing law, and venue

Write to us first at contact@freshsun.co. Include at least a link to the listing or page at issue and a short description of the problem. We will try to resolve it by email.

These Terms are governed by the laws of the State of Delaware and the applicable federal laws of the United States, without regard to conflict-of-law rules. Hosts and other business users: any court action must be brought in the state or federal courts located in Delaware, USA, and you consent to those courts. Visitors who are consumers keep any mandatory local forum or consumer-court rights that cannot be waived — including, where they apply, the courts of the consumer’s EU/EEA or UK place of residence. Mandatory local consumer-protection or privacy rules that cannot be waived still apply.

Miscellaneous

These Terms, the Privacy Policy, and any checkbox or notice you accept on the Sites are the entire agreement between you and us about FreshSun. They supersede prior discussions about the Sites. They do not apply to other products of Merendon Cloud.

• We may assign these Terms. You may not assign them without our consent.
• If a court finds a provision unenforceable, the rest stays in effect.
• A failure to enforce a provision is not a waiver.
• Headings are for reading convenience only.
